Most founders pick a structure based on what a friend did. A better way is to answer three questions: Do you plan to raise equity? How much yearly compliance can you handle? And how will profits reach you — as salary, profit share or dividend?
Side by side
| Proprietorship | LLP | Private Limited | |
|---|---|---|---|
| Minimum people | 1 owner | 2 designated partners | 2 directors, 2 shareholders (OPC: 1) |
| Liability | Unlimited — personal assets at risk | Limited to contribution | Limited to shares |
| Income tax | Your slab rates | 30% + surcharge & cess; share of profit tax-free for partners | About 25.17% under section 115BAA; dividends taxed again for shareholders |
| Audit | Only above tax-audit limits | If turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh | Every year, regardless of turnover |
| Annual MCA filings | None | Form 8 and Form 11 | AOC-4, MGT-7/7A, DIR-3 KYC, board meetings |
| Raising equity | Not possible | Difficult — investors rarely invest in LLPs | Designed for it — shares, ESOPs, DPIIT recognition |
| Setup time | A few days (GST / Udyam as proof) | 10–15 working days | 7–10 working days |
When each one fits
Proprietorship suits a small trader, shop or freelancer testing an idea, with low risk and modest profits. It is the cheapest to run, but you and the business are the same person in law, and banks lend against your personal profile.
LLP suits professionals and family businesses that want limited liability with lighter compliance — consultancies, small manufacturers, partnerships between relatives. Partners' remuneration and interest on capital are deductible within section 40(b) limits, and profit share is not taxed again.
Private Limited suits anyone who plans to raise money, issue ESOPs, bid for larger contracts or build something to sell. It costs more to maintain each year, but it is the structure banks, investors and large customers trust most.
